SEC Tarlac reminds corporations to file 2024 reports

The Securities and Exchange Commission – Tarlac Extension Office (TAREO) advises all registered entities to file their 2024 reports through the Electronic Filing and Submission Tool (eFAST) portal before the deadlines set by the Commission.

The SEC issued Memorandum Circular No. 2, Series of 2024, which provides the 2024 Filing of Annual Financial Statements (AFS) and General Information Sheet (GIS).

All stock and nonstock corporations are required to submit their annual reports online through the SEC Electronic Filing and Submission Tool (eFAST) at efast.sec.gov.ph.

The SEC shall not accept submissions over the counter and through courier, in line with the zero-contact policy and automation of business-related transactions mandated by Republic Act No. 11032, also known as the Ease of Doing Business and Efficient Government Service Delivery Act of 2018.

SEC-TAREO Director, Atty. Richard R. Laus said in a statement that all corporations whose fiscal year ended on December 31, 2023 shall file their AFS based on the last digit of the SEC registration or license number and the Tarlac Extension Office will implement the following coding schedule:

  • 1 and 2 = April 29-30; May 2,3,6,7,8,9,10
  • 3 and 4 = May 13-17; May 20- 24
  • 5 and 6 = May 27-31; June 3-7
  • 7 and 8 =June 10,11,13,14; June 17-21
  • 9 and 0 = June 24-28; July 1-5

 Director Laus added that corporations whose fiscal year ended on a date other than December 31 shall file their AFS within 120 calendar days from the end of their fiscal year. He also reminded that corporations may submit their reports on or before their respective filing dates.

Failure to file the AFS on the prescribed deadline shall be considered a sufficient ground for the imposition of penalties by the SEC.

On the other hand, the GIS must be filed within 30 calendar days from the date of the actual annual stockholders meeting for stock corporations and from the date of the actual annual members meeting for non-stock corporations.

The respective GIS forms for stock and nonstock corporations may be downloaded from the SEC website.

One-person corporations (OPCs) are not required to submit the GIS. However, they must submit the SEC Form for Appointment of Officers within 15 days from the date of issuance of their certificate of incorporation, or within five days from subsequent changes.

The SEC-TAREO has designated a contact center to assist its clients located in distant areas in terms of filing their 2024 reports and enrolling their company and authorized filer accounts to the eFAST facility through its email address, secteo@sec.gov.ph and mobile number, 0950-029-5715.
